About the role
London | Interim (c3-4 weeks), Urgent Hire!
We have been instructed to find an experienced Interim Group Company Secretary to join a dynamic business with rapid international growth plans, for c3. This is an excellent opportunity to lead the company secretarial function for a complex international group, working closely with senior leadership on governance, compliance and strategic corporate matters. Reporting to the General Counsel, you will oversee the Group’s governance framework, support international subsidiaries and contribute to a range of corporate and governance projects.
Key Responsibilities include:
- Lead the delivery of company secretarial and governance services, ensuring statutory and regulatory compliance.
- Advise senior stakeholders on governance developments and corporate governance best practice.
- Prepare governance-related sections of the Group’s annual report and accounts.
- Support governance, compliance and risk management frameworks.
- Oversee subsidiary governance across multiple jurisdictions, working with local teams and external providers.
- Coordinate board meetings for Group subsidiaries, including agendas, board papers and minutes.
- Maintain statutory records, legal entity data and Group corporate documentation.
- Support corporate transactions, restructurings, entity rationalisation and due diligence.
- Assist with banking, KYC and wider governance, ESG and corporate projects.
Skills, Experience and Qualifications
- CGI-qualified (GradCG, ACG or equivalent).
- Significant Company Secretarial experience at a senior level
- Strong knowledge of UK company law, corporate governance and statutory compliance.
- Experience supporting international subsidiaries and advising senior stakeholders.
- Experience preparing governance sections of annual reports and accounts.
- Experience with board portal or entity management software is desirable.
