About the role

We are working with a FTSE 250 financial services business to appoint an Assistant Company Secretary on a 12-month fixed-term contract based in London. Reporting to the Deputy Company Secretary, you will join a well-established Company Secretariat team and support the delivery of corporate governance and company secretarial services across a complex international organisation. The role offers exposure to both listed company and subsidiary governance matters, working closely with senior stakeholders to ensure compliance with statutory, regulatory and governance requirements. This is an excellent opportunity to broaden your experience across the full corporate lifecycle within a supportive and collaborative team.

 

Key Responsibilities include:

EMEA sub-group

  • Support Board, Committee and management meetings across UK regulated entities and international subsidiaries, including agenda planning, board packs, minute taking, action tracking and wider governance administration.
  • Manage statutory and regulatory compliance across a portfolio of UK and international entities, including Companies House filings, corporate records and liaison with overseas offices and external advisers.
  • Coordinate statutory accounts approval and filing processes, working with finance teams, auditors and legal advisers, and oversee authorised signatory arrangements and the execution, legalisation and notarisation of corporate documentation.
  • Act as secretary to executive-level committees and support wider subsidiary governance matters, including approvals, proxy documentation and shareholder-related requirements.
  • Support corporate projects and transactions, including restructurings, incorporations, strike-offs and liquidations, and manage internal/external information requests and governance onboarding activities.

Plc Activities

  • Assist the Deputy Company Secretary in their support of the plc Board and Committees, year-end sign off process.
  • Management of the relationship with the Registrar.
  • Assist with drafting the governance sections of the Annual Report& Accounts
  • Assist with the Notice of Meeting and the AGM process including management of the proxy advisory agency reports.
  • Assist with the management of the NED induction process.

 

Skills, Experience and Qualifications

  • CGI qualified (ACG/GradCG/CG Affiliated) with approximately 3–4 years’ post-qualification company secretarial experience.
  • Strong understanding of UK corporate governance, company law and regulatory requirements, ideally within a regulated environment.
  • Excellent written and verbal communication skills, with the confidence to engage effectively with senior stakeholders, including Board members and Non-Executive Directors.
  • Comfortable using governance and corporate secretarial systems and technology.
  • Financial services experience is beneficial but not essential.
